Welcome to Chopstick Organics. These Terms & Conditions ("Terms") govern your access to and use of our website (www.chopstickorganics.com) and the professional consulting, advisory, and supply chain audit services provided by Chopstick Organics OÜ ("we", "us", or "our").

By browsing our website, booking a service, requesting a proposal, or making a payment, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services or website.

1. Scope of Services

Chopstick Organics OÜ provides professional consulting services focused on building sustainable food systems in Southeast Asia. Our services include but are not limited to:

• Supply Chain Transparency & Blockchain Integration
• Sustainable Farming Advisory & Training
• Market Access & Product Development for Global Buyers

Specific service deliverables, timelines, milestones, and fees will be detailed in a separate written Service Agreement or Project Proposal executed between us and the Client before starting work.

2. Service Booking, Pricing & Fees

All service inquiries, booking requests, and formal service requests are initiated through our online booking form. Pricing details for our standard packages are clearly displayed on our Services page. Custom projects will receive a detailed cost breakdown in writing.

• Transaction Currency: All prices and fees are quoted and processed in United States Dollars (USD, $).
• Pricing Ranges: Our services are priced transparently as follows:
  • Supply Chain Transparency: From $2,500 USD per project or $450 USD per month.
  • Sustainable Farming Advisory: From $1,200 USD per farm assessment or $150 USD per hour.
  • Market Access & Product Development: From $3,000 USD per product launch or 1.5% - 3.0% commission of trade volume.
• Tax & Duties: Any applicable local sales tax, value-added tax (VAT), or transaction withholding taxes will be explicitly detailed on the invoice prior to payment.

3. Payment terms & Payment Card Security

Clients can pay for services via secure bank transfers or credit/debit card processing. Payment terms are as follows:

• Payments are due in full or in agreed milestones as specified in the service invoice. Milestone payments must be cleared before the commencement of the subsequent phase.
• Card Processing Security: We process credit and debit card transactions securely through our PCI-DSS compliant third-party payment gateway partner (Wise). Chopstick Organics does not collect, capture, store, or process any payment card details (such as card numbers or sensitive authentication data) on our website or servers. All data transmission to our payment processor is fully SSL-encrypted.

4. Digital Delivery Policy

Because Chopstick Organics provides professional consulting, advisory, and software integration services, all deliverables are transmitted digitally. There are no physical shipping requirements, and no delivery charges apply.

• Delivery Methods: Deliverables (reports, strategy documents, dashboards, training logs, blockchain integration tokens) will be sent electronically via secure email, secure file-sharing portals (e.g., Google Drive), or demonstrated in virtual consulting sessions.
• Timeline: Delivery timelines are specified in the individual Service Agreement. Advisory sessions are booked in advance and delivered live via videoconferencing software.

5. Export Restrictions

Our consulting and advisory services are informational and digital in nature. Consequently, there are no export restrictions on our services, and we accept bookings from clients worldwide, provided that doing so does not violate any Applicable Laws or international sanctions enforced in Estonia, the European Union, or the client's home country.

6. Refund & Cancellation Policy

Our refund and cancellation policies are detailed on our dedicated Refund & Cancellation Policy page. By agreeing to these Terms, you also agree to the terms in the Refund & Cancellation Policy. Briefly:

• A 7-day advance notice is required to cancel or reschedule a scheduled advisory or training session.
• Refunds are not granted for services already rendered, completed consulting hours, or executed milestones. Refunds for unrendered services are subject to a processing fee.

7. Intellectual Property

All content on this website, including logos, text, design, graphics, and code, is the property of Chopstick Organics OÜ and is protected by intellectual property laws. We grant clients a non-exclusive, non-transferable license to use the final deliverables (reports, materials) for their internal business purposes, subject to full payment of all fees.

8. Limitation of Liability

To the maximum extent permitted by Applicable Law, Chopstick Organics OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of our advisory services, implementation of farming methods, or blockchain supply chain integrations.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Tallinn, Estonia.
